These Terms of Use (“Terms”) govern your access to and use of upward-technology.net (the “Site”), operated by Upward Technology LLC (“Upward Technology,” “we,” “us,” or “our”).

By accessing or using the Site, you acknowledge that you have read and agree to these Terms. If you do not agree, please do not use the Site.

1. Purpose of the Site

The Site provides information about Upward Technology LLC, its digital products, publishing ventures, and related business activities.

The Site may also link to properties developed, supported, or operated by Upward Technology, including Spark Latitude, as well as independently operated third-party websites and services.

You may access and use the Site for lawful personal or business informational purposes, subject to these Terms and applicable law.

  • use the Site in a manner that infringes the rights of Upward Technology or any third party.

We may restrict or terminate access when we reasonably believe that use of the Site violates these Terms, applicable law, or the rights or safety of the Site, our business, or others.

4. Intellectual Property

Unless otherwise stated, the Site and its content—including text, graphics, logos, branding, design elements, images, software, and page layouts—are owned by or licensed to Upward Technology LLC and are protected by applicable intellectual-property laws.

Upward Technology names, logos, branding, and design elements may not be used in a manner that suggests sponsorship, endorsement, affiliation, or authorization without prior written permission.

You may view and make limited personal or internal business use of publicly available Site content. No other rights or licenses are granted unless expressly stated in writing.

5. Other Upward Technology Properties

Upward Technology develops, supports, or operates other digital properties, including Spark Latitude.

Those properties are separate websites and may maintain their own terms, privacy policies, disclosures, and operating rules. These Terms apply only to upward-technology.net unless another website expressly incorporates them.

When visiting another property, you should review the terms and policies presented on that website.

6. Third-Party Links and Services

The Site may link to websites, products, platforms, resources, or services operated by third parties.

We do not own or control third-party websites and are not responsible for their content, availability, accuracy, security, products, services, or privacy practices. A link does not necessarily mean that Upward Technology endorses or guarantees the third party.

Your use of a third-party website or service is at your own risk and is governed by that party’s terms and policies.

7. Informational Purposes Only

Site content is provided for general business and informational purposes.

Nothing on the Site constitutes legal, financial, investment, tax, medical, cybersecurity, or other professional advice. You should consult an appropriately qualified professional when advice is needed for your circumstances.

Your use of the Site is also subject to our Privacy Policy, which explains how information is handled when you visit the Site or communicate with us.

This provision does not change how personal information is handled under our Privacy Policy. Please do not send confidential business information, trade secrets, or proprietary materials unless we have agreed in writing to receive them confidentially.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

UPWARD TECHNOLOGY LLC DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UPWARD TECHNOLOGY LLC AND ITS MEMBERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

This includes loss of data, revenue, profits, business opportunities, goodwill, or other intangible losses, even if the possibility of such damages was known.

To the fullest extent permitted by law, our total aggregate liability for claims arising from or related to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Upward Technology LLC and its members, owners, officers, employees, contractors, affiliates, and licensors from claims, liabilities, damages, judgments, losses, costs, and reasonable legal expenses arising from:

  • your unlawful or unauthorized use of the Site;
  • your violation of these Terms; or
  • your infringement of another person’s rights.

14. Changes to the Site or These Terms

We may update these Terms from time to time. The revised Terms will be posted on this page with an updated effective date.

Your continued use of the Site after revised Terms are posted constitutes acceptance of those revised Terms.

15. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New Jersey and applicable federal law, without regard to conflict-of-law principles.

To the extent a dispute may be brought in court, you consent to the exclusive jurisdiction of the state and federal courts located in New Jersey, except where applicable law requires otherwise.
